Terms of Use

These Terms of Use (the “Terms”) are a legal agreement between you and Wilkii, LLC (“Wilkii,” “we,” “us,” or “our”) governing your access to and use of the Wilkii websites, mobile applications, community features, memberships, digital content, tools, services, support features, and related offerings (collectively, the “Services”).

1.1 Acceptance of Terms

By creating an account, purchasing a membership, accessing or using the Services, or otherwise indicating acceptance, you agree to these Terms and any policies incorporated by reference. If you do not agree, do not access or use the Services.

1.2 Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services, unless Wilkii expressly permits otherwise in writing. You agree to provide accurate, current information and to keep your account information up to date.

1.3 What Wilkii Is — and Is Not

Wilkii is an intentional-living and wellness platform designed to support planning, habits, reflection, community, emotional self-regulation practices, and personal growth. Wilkii is not a medical provider, mental-health provider, therapist, crisis service, financial adviser, attorney, or other licensed professional service.

The Services are for general informational, educational, wellness, and self-development purposes only. They are not medical advice, diagnosis, treatment, psychotherapy, or a substitute for professional care. Do not use Wilkii to make decisions about medications, treatment, diagnosis, emergencies, or other matters that require a licensed professional.

If you believe you may be experiencing a medical or mental-health emergency or are in immediate danger, contact local emergency services or an appropriate crisis resource in your location.

1.4 No Guaranteed Results

Personal growth, habit formation, wellbeing, productivity, and lifestyle outcomes vary from person to person. Wilkii does not guarantee any specific result, transformation, improvement, income, relationship outcome, mental-health outcome, or other result from use of the Services.

1.5 Accounts and Security

You are responsible for maintaining the confidentiality of your account, device, verification credentials, and authentication methods. You are responsible for activity occurring through your account unless caused by Wilkii’s breach of applicable law. Notify Wilkii promptly if you believe your account has been compromised.

Where available, Wilkii may offer authentication or security features such as SMS verification, Face ID, Touch ID, or similar device-level controls. Biometric authentication is generally handled by your device operating system; Wilkii does not need to receive your raw biometric template to use those device features.

1.6 Memberships, Billing, and Automatic Renewal

Paid Wilkii memberships automatically renew at the billing interval selected until cancelled, unless otherwise stated at checkout. Current plan pricing may include monthly, three-month, and annual options. The price, billing interval, taxes, and any applicable discounts will be shown before purchase.

By purchasing a recurring membership, you authorize Wilkii and its payment processor to charge the payment method associated with your account at each renewal until you cancel. You are responsible for applicable taxes and for maintaining a valid payment method.

You may manage your membership through the available Membership & Billing tools. If you cancel, cancellation generally stops future renewal and you retain access through the end of the period already paid for, unless otherwise required by law.

1.7 Refund Policy

Wilkii offers a limited first-month satisfaction refund. A new member may request a refund of the member’s first Wilkii membership charge only if the request is made within the first 30 calendar days after the member’s initial paid membership begins.

After the first 30 days, membership payments are non-refundable, including renewal charges and charges associated with later plan changes, except where a refund is required by applicable law. Cancelling a membership stops future renewal but does not automatically create a refund.

Eligible refund requests must be submitted through Wilkii Support. Wilkii may require information reasonably necessary to verify the account and transaction. Nothing in this policy limits non-waivable rights under applicable consumer law.

1.8 Plan Changes

Wilkii may allow you to change your membership plan. Where supported, a plan change may take effect at the end of your current paid period. The effective date and charge will be shown before confirmation. Stripe or another payment provider may process the change.

1.9 Promotions, Rewards, and Referrals

Wilkii may offer referral programs, rewards, credits, discounts, member perks, or promotional offers. Any such program is subject to the specific terms presented with the offer. Wilkii may modify, suspend, or end a rewards or referral program, or deny rewards for fraud, abuse, self-referrals, duplicate accounts, chargebacks, or other misuse, subject to applicable law.

Unless expressly stated, rewards have no cash value, are non-transferable, and may be subject to expiration or eligibility requirements.

1.10 Physical Products

Wilkii may offer or reference physical products, such as Base Pad Mini, including through third-party marketplaces such as Amazon. Physical products are separate from the Wilkii membership unless expressly stated. Third-party marketplace purchases may also be governed by the marketplace’s terms, shipping, return, and refund policies.

1.11 Community, Direct Messages, and User Conduct

Wilkii may include community feeds, profiles, direct messages, comments, member content, or similar social features. You are responsible for your conduct and the content you post, send, upload, or otherwise make available.

You may not use the Services to harass, threaten, stalk, discriminate against, exploit, defame, impersonate, intimidate, or harm another person; post unlawful, hateful, abusive, obscene, deceptive, sexually exploitative, violent, or infringing content; distribute malware; scrape or disrupt the Services; or violate another person’s privacy or intellectual-property rights.

Wilkii may review reports, remove content, restrict features, suspend or terminate accounts, preserve evidence, or take other reasonable action when we believe a violation may have occurred. Wilkii does not promise any particular disciplinary outcome. We do not undertake a duty to monitor every communication or prevent every harmful interaction.

1.12 User Content

You retain ownership of content you create and submit to Wilkii, including reflections, messages, photos, suggestions, and other materials (“User Content”). You grant Wilkii a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use User Content as reasonably necessary to operate, secure, support, improve, and provide the Services, comply with law, and enforce these Terms.

Private reflections are not intended to be publicly displayed unless you choose to share them. Community content and information you intentionally publish to other members may be visible to those members.

1.13 Feedback and Suggestions

If you provide ideas, suggestions, feature requests, feedback, or other product input, you grant Wilkii an unrestricted, perpetual, irrevocable, worldwide, royalty-free right to use, modify, commercialize, and incorporate that feedback without compensation or further approval, to the extent permitted by law.

1.14 Intellectual Property

The Services, including Wilkii’s software, design, interfaces, trademarks, logos, graphics, text, program structures, workflows, audio content, videos, and other materials, are owned by Wilkii or its licensors and are protected by intellectual-property laws. Subject to these Terms, Wilkii grants you a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal, non-commercial use.

You may not copy, reverse engineer, sell, sublicense, scrape, reproduce, create derivative commercial products from, or otherwise exploit Wilkii intellectual property except as expressly permitted by law or written authorization.

1.15 Third-Party Services

The Services may rely on or link to third-party services, such as payment processors, authentication providers, hosting platforms, website providers, analytics tools, marketplaces, App Store services, or other integrations. Third parties operate independently and may have their own terms and privacy practices. Wilkii is not responsible for third-party services to the extent permitted by law.

1.16 AI-Powered Features

Wilkii may use artificial intelligence or automated systems in features such as customer support, search, recommendations, summaries, or product assistance. AI-generated output may be incomplete, inaccurate, or inappropriate for your circumstances. Do not rely on AI output as medical, legal, financial, mental-health, or other professional advice.

The Wilkii Help Agent is intended to provide customer-service information based on approved Wilkii materials. If the Help Agent cannot confidently resolve an issue, you should contact human support.

1.17 Beta and Experimental Features

Wilkii may make beta, preview, or experimental features available from time to time. Such features may contain errors, change without notice, or be discontinued. They are provided “as is” and “as available” to the maximum extent permitted by law.

1.18 Suspension and Termination

Wilkii may suspend, limit, or terminate access if you violate these Terms, create safety or security risks, engage in fraud or abuse, fail to pay required fees, or where suspension is reasonably necessary to protect Wilkii, members, or third parties. Where appropriate and legally required, Wilkii will provide notice or an opportunity to address the issue.

Termination of membership does not automatically delete your account or data. Data handling following termination is governed by the Privacy Policy and applicable law.

1.19 Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WILKII DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS.

WILKII DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT, COMMUNITY INTERACTION, RECOMMENDATION, OR RESULT WILL BE ACCURATE OR SUITABLE FOR YOU.

1.20 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WILKII AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, PARTNERS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WILKII’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE TOTAL AMOUNT YOU ACTUALLY PAID TO WILKII FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including where applicable liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, death or personal injury caused by negligence, or non-waivable consumer rights.

1.21 Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Wilkii and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Services, your User Content, your violation of these Terms, or your infringement of another person’s rights. This provision does not apply where prohibited by consumer law.

1.22 Informal Dispute Resolution

Before filing a formal claim, you and Wilkii agree to try in good faith to resolve the dispute informally. Send written notice describing the dispute and requested relief to legal@wilkii.com and allow at least 30 days for resolution before initiating arbitration or litigation, except where immediate equitable relief is necessary.

1.23 Binding Individual Arbitration; Class Action and Jury Waivers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES THAT IS NOT RESOLVED INFORMALLY WILL BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION, RATHER THAN IN COURT, EXCEPT FOR ELIGIBLE SMALL-CLAIMS MATTERS AND CLAIMS SEEKING EMERGENCY OR INJUNCTIVE RELIEF FOR MISUSE OF INTELLECTUAL PROPERTY, SECURITY, OR CONFIDENTIAL INFORMATION.

The arbitration will be administered by JAMS under its applicable Consumer Arbitration Rules, unless the parties agree otherwise. Arbitration may occur remotely or in Delaware, subject to any mandatory consumer-protection rules regarding location or procedure.

YOU AND WILKII WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION, TO THE EXTENT PERMITTED BY LAW. THE ARBITRATOR MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY SEEKING RELIEF.

You may opt out of this arbitration agreement by sending a written opt-out notice to legal@wilkii.com within 30 days after first accepting these Terms. The notice must include your name, account email or phone number, and a clear statement that you opt out of arbitration. Opting out will not affect the rest of these Terms.

If a court determines that a particular class or representative claim cannot lawfully be waived, that claim will proceed in court to the extent required by law, while any arbitrable individual claims remain subject to arbitration.

1.24 Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, except where mandatory consumer-protection law in your place of residence applies. Any claim not subject to arbitration will be brought in a state or federal court of competent jurisdiction in Delaware, except where applicable law requires another forum.

1.25 International Consumers

If you reside outside the United States, you may have mandatory consumer rights that cannot be waived by contract. Nothing in these Terms is intended to limit those rights. Arbitration, liability limitations, refund restrictions, governing-law clauses, and other provisions apply only to the extent permitted by the laws applicable to you.

1.26 Changes to the Services or Terms

Wilkii may modify the Services and these Terms from time to time. If we make material changes to the Terms, we will provide notice as required by law, such as through the Services, website, or email. Unless a different period is required by law, material changes will generally take effect after reasonable notice. Continued use after the effective date constitutes acceptance where permitted by law.

1.27 General Terms

If any provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective. Wilkii’s failure to enforce a provision is not a waiver. Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimers, liability limits, dispute-resolution, and indemnity provisions.

Wilkii may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, or sale of assets. You may not assign your rights under these Terms without Wilkii’s prior written consent, except where applicable law provides otherwise.
